End User License Agreement

This End User License Agreement ("Agreement") is a legally binding contract between you ("Licensee", "you") and Mathieu Rahm, operating as SoundFingers ("Licensor", "we", "us"), governing your use of any SoundFingers audio plugin software, including all associated audio content, presets, and documentation (collectively, "the Software").

By downloading, installing, activating, or using the Software, you agree to the terms of this Agreement. If you do not agree, do not install or use the Software and contact us within 14 days at contact@soundfingers.com to request a refund in accordance with our Refund Policy.

1. License Grant

Subject to your compliance with this Agreement and upon confirmed payment of the applicable purchase price, SoundFingers grants you a personal, non-exclusive, non-transferable, worldwide license to install and use the Software on up to 3 (three) computers that you personally own or control.

This license covers all products in the SoundFingers catalogue:

• Dread Drumz
• Basstone X
• Le Skank
• Heritage Organ
• Ethereal Melodica
• SoundFingers Complete Bundle (includes all of the above)

Each product title requires a separate license unless purchased as part of the Bundle.

2. Permitted Uses

You may:

• Install the Software on up to 3 machines you own or control
• Use the Software within any compatible DAW (Digital Audio Workstation) for music composition, audio production, sound design, or live performance
• Use the Software for personal or commercial creative projects, including but not limited to: released albums, singles, sync placements, film and video game scoring, broadcast productions, and paid client work
• Include audio rendered or bounced from the Software (instrument output, rendered tracks, mixed audio) in your original compositions and productions without restriction
• Use included presets as a starting point and modify them freely

3. Restrictions

You may not:

• Copy, distribute, publish, sublicense, sell, rent, lease, or otherwise transfer the Software or any license credential to any third party
• Share your account credentials, download links, or license key with any other person or entity
• Install or use the Software on more than 3 machines simultaneously without purchasing an additional license
• Reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code of the Software
• Modify, adapt, translate, or create derivative works of the Software itself (the plugin binary, engine, or included instrument/sample infrastructure)
• Remove, alter, or obscure any copyright notice, license notice, or trademark contained in the Software
• Use the Software in a manner that violates any applicable law or regulation
• Export, redistribute, or resell included audio samples or presets as standalone products — for example, as sample packs, loop libraries, or preset banks — whether free or commercial. Audio samples may only be used as components within original musical compositions.

4. License Activation

The Software uses an online license activation system. Activation requires a valid internet connection and a SoundFingers account at soundfingers.com.

• You may activate the Software on up to 3 machines simultaneously.
• To transfer your license to a new machine, deactivate it on an existing machine via your account dashboard: soundfingers.com/account/licenses.
• If a machine becomes inaccessible before deactivation (hardware failure, loss, theft), contact us at contact@soundfingers.com to manually reset an activation slot. We process these requests promptly.
• Attempting to circumvent or spoof the activation system is a material breach of this Agreement.

Data collected during activation: When you activate the Software, the plugin generates and transmits a machine identifier (a hardware/software fingerprint produced by the JUCE framework). This identifier is stored on our servers solely to enforce the 3-activation limit and to allow you to manage your activations. It does not contain your name, location, or browsing activity. It is treated as personal data under GDPR and is subject to the retention and deletion rights described in our Privacy Policy. You may request erasure of your machine identifiers by contacting privacy@soundfingers.com or by deleting your account.

5. Ownership & Intellectual Property

The Software, including all plugin code, audio engine, embedded samples, instrument multisamples, preset libraries, interface graphics, and documentation, is and remains the exclusive intellectual property of Mathieu Rahm, protected under French and international copyright law.

This Agreement does not transfer any ownership or intellectual property rights to you. You acquire only the right to use the Software as expressly set out herein.

6. Updates

Software updates within the same major version (e.g. 1.x → 1.y) are provided to active licensees at no additional charge and are available for download from your account dashboard.

SoundFingers reserves the right to introduce paid upgrade pricing for new major versions (e.g. v1.x → v2.x). Upgrade discounts will be offered to existing licensees where possible.

7. Support

SoundFingers provides best-effort technical support via email at support@soundfingers.com. Support is available in English and French. We aim to respond within 3 business days.

Support covers: installation issues, activation issues, and confirmed bugs. It does not cover: general DAW usage, third-party host compatibility issues beyond our reasonable control, or system configuration issues.

8. Disclaimer of Warranties

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

SOUNDFINGERS DOES NOT WARRANT THAT THE SOFTWARE WILL BE FREE FROM DEFECTS, UNINTERRUPTED, OR COMPATIBLE WITH ALL OPERATING SYSTEMS, DAW VERSIONS, OR HARDWARE CONFIGURATIONS. YOU ASSUME FULL RESPONSIBILITY FOR VERIFYING COMPATIBILITY BEFORE PURCHASE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOUNDFINGERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, SOUNDFINGERS'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC SOFTWARE GIVING RISE TO THE CLAIM.

Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation, to the extent such exclusion or limitation is prohibited by applicable law.

10. Termination

This Agreement remains in effect until terminated. It terminates automatically and immediately, without notice, if you breach any material term of this Agreement. Upon termination, you must:

• Cease all use of the Software
• Delete all copies of the Software from all your machines
• Destroy any associated documentation or materials in your possession

Termination does not entitle you to a refund. SoundFingers reserves the right to disable your license remotely in cases of confirmed material breach.

Termination of this Agreement does not affect the provisions that by their nature should survive (including but not limited to Sections 5, 8, 9, and 11).

11. Governing Law & Disputes

This Agreement is governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

In the event of a dispute arising out of this Agreement, the parties agree to first seek resolution in good faith. If no amicable resolution is reached within 30 days, disputes shall be submitted to the exclusive jurisdiction of the competent French courts.

EU consumers retain any mandatory rights conferred upon them by the laws of their country of habitual residence that cannot be waived by contract.

12. Entire Agreement

This Agreement, together with the Terms and Conditions and Privacy Policy of soundfingers.com, constitutes the entire agreement between you and SoundFingers with respect to the Software and supersedes all prior agreements, representations, or understandings relating to its subject matter.

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
